Chapter 1 General Provisions

Article 1 (Purpose)

① These Terms of Service set out the rights, obligations and responsibilities of, and other necessary matters between, NSE Technology Co., Ltd. (hereinafter the "Company") and the client organizations and users (hereinafter the "Member") that use the cloud-based peer review platform service (hereinafter the "Service") provided by the Company.
② These Terms are made public by posting them on the Service website (https://www.veriproof.ai) or are notified to Members by other means.

Article 2 (Definitions)

The terms used in these Terms are defined as follows.
① "Service" means the online web-based services provided by the Company to Members, including the review of various files (documents, images, video, audio) and web pages (websites and YouTube videos), file storage, and all other related services.
② "Member" means an individual or client organization that has entered into a Service use agreement with the Company under these Terms and has been granted the right to use the Service by the Company.
③ "ID" means the e-mail address provided by the Member for identification of the Member and for use of the Service.

Article 3 (Effect and Amendment of the Terms)

① The contents of these Terms shall be posted on the Service website or otherwise notified to Members.
② The Company may amend these Terms where reasonable grounds arise, within a scope that does not violate the relevant statutes.
③ Where the Company amends these Terms, it shall give notice by the method in paragraph ① seven days before the scheduled effective date of the amendment. However, where the Terms or the contents of the Service are changed to the disadvantage of Members, the Company shall give notice 30 days before the scheduled date of application and shall separately notify existing Members by electronic means such as e-mail (or by public posting where such notification is objectively difficult).
④ Where the Company, in announcing or notifying the amended Terms under the preceding paragraph, has also stated that a Member who does not express refusal before the date of application of the amendment will be deemed to have consented to it, and the Member does not expressly refuse the amendment by the effective date, the Member shall be deemed to have consented to the amended Terms. A Member who does not agree to the amended Terms may terminate the Service use agreement before the day on which the amended Terms take effect.
⑤ Where a Member was unable to take the termination measures under the preceding paragraph due to circumstances for which the Member cannot be held responsible (not having accessed the Service during the notice period for the amended Terms shall not constitute such circumstances), the Member may, upon proving such circumstances, terminate the Service immediately after those circumstances cease to exist.

Article 4 (Rules Other than These Terms)

① Matters not provided for in these Terms shall be governed by relevant statutes such as the Framework Act on Telecommunications and the Telecommunications Business Act, and by separate terms, use regulations or detailed usage guidelines relating to the services provided by the Company.
② The Company may establish separate terms of use, operating policies, or written agreements concluded individually with a Member (hereinafter the "Individual Terms"). Where the contents of the Individual Terms conflict with these Terms, the Individual Terms shall prevail.

Chapter 2 Service Use Agreement

Article 5 (Conclusion of the Service Use Agreement)

① The Service use agreement is concluded when a person who wishes to become a Member (hereinafter the "Applicant") applies to use the Service in accordance with the application method provided by the Company and the Company accepts that application; upon such application the Applicant is deemed to have agreed to these Terms.
② The Applicant must provide the information required by the Company at the time of application (e-mail address, name, etc.).
③ A person under 14 years of age may not register as a Member and may not conclude a Service use agreement. The Applicant confirms and warrants at the time of application that they are at least 14 years of age.

Article 6 (Acceptance and Restriction of Applications)

① An Applicant may apply to use the Service by completing and submitting the form provided by the Company in the membership registration section of the Service and agreeing to these Terms.
② In principle the Company accepts applications made under paragraph ①. However, the Company may refuse to accept an application falling under any of the following items. In addition, where a Member already using the Service falls under any of the following items, the Company may terminate the use agreement without a separate procedure.
  1. Where the Applicant has previously lost membership status or been refused use of the Service (this does not apply where at least one year has passed since the loss of status or the refusal and the Company has approved re-registration).
  2. Where the application is made by misappropriating another person's name.
  3. Where the application omits Member registration details or contains false information. (All Member information entered in the application form is deemed to be actual data; the individual or organization owning the account is responsible for any problems arising from registration using false data.)
  4. Where the Applicant intends to use the Service for improper purposes such as unlawful or illegal acts.
  5. Where the application is made for the purpose of harming public peace, order or good morals.

(Where hacking is found, the company to which the individual owning the account belongs is responsible for all problems arising from the hacking.)
  9. Where the Applicant distributes computer virus programs or the like that cause malfunction of information and communications facilities or destruction of information.
  10. Where an external body such as the Information and Communications Ethics Committee has requested corrective action.
  11. Where the Applicant intends to use the Service for profit-making purposes without the Company's prior consent.

③ The Company may withhold acceptance of an application where any of the following applies.
  1. Where facilities are impaired due to a natural disaster.
  2. Where providing the Service is judged to make it difficult to maintain the overall quality of the Company's Service.
  3. Where there is insufficient facility capacity to provide the Service, or provision of the Service is technically difficult.
  4. Where there is a risk, or a concern of a risk, to the Company's operations or business.
  5. Where, on other grounds equivalent to the above, acceptance by the Company is difficult.
④ Where the Company refuses or withholds acceptance of an application, it shall in principle inform the Applicant accordingly.

Chapter 3 Member Information

Article 7 (Provision and Change of Member Information)

① Where a Member is required to provide information to the Company under these Terms, the Member shall provide truthful and lawful information; the Member is not protected against disadvantages arising from the provision of false or unlawful information.
② A Member may view and correct their own information through the personal information management screen within the Service. However, information that the Company or the Member does not permit to be changed cannot be corrected.
③ Where the matters entered at the time of application change, the Member shall correct them through the personal information management screen within the Service and inform the Company of the change.
④ The Company bears no liability for disadvantages arising from a Member's failure to properly update changes to their own information.

Article 8 (Protection and Management of Personal Information)

① The Company endeavours to protect Members' personal information as prescribed by the relevant statutes. The relevant statutes and the Company's Privacy Policy apply to the protection and use of personal information.
② The Company bears no liability whatsoever for any information, including a Member's ID and Password, that is disclosed due to reasons attributable to the Member.

Article 9 (Management of the Member's ID and Password)

① Responsibility for the management of a Member’s ID and Password (hereinafter the "Credentials") rests with the Member, who must not allow a third party to use them.
② Where a Member becomes aware that their Credentials have been misappropriated and are being used by a third party, the Member shall immediately notify the Company and follow the Company's instructions.
③ Notwithstanding the preceding paragraph, the Company bears no liability whatsoever for disadvantages arising to a Member who fails to notify the Company of such misappropriation or who, having notified the Company, fails to follow the Company's instructions.

Article 10 (Entrustment of Personal Information)

① The Company handles and manages the personal information it collects itself in principle, but may where necessary entrust part or all of that work to a third party selected by the Company. The Company's Privacy Policy applies to the entrustment of Members' personal information.

Chapter 4 Change and Termination of the Use Agreement

Article 11 (Change of Contract Terms)

① Where any of the following grounds for change arises in a Member's Service use agreement, the Member shall immediately apply for the change in accordance with the relevant procedure; the Member is responsible for any problems arising from delay in updating the relevant information.
  1. A change in the trade name, name or address of the Member or of the person who has agreed to be responsible for actual payment of fees.
  2. A change in the card information registered as the means of automatic payment.
② Even before the Service start date, where an excessive increase in costs is expected to arise, the Company may, with the Member's consent, request an increase in fees and a change to the Service. Where the Member does not agree to the changed fees, the Member may terminate this Service agreement without paying any penalty.
③ Where a Member is in arrears on Service fees billed by the Company, the Company may restrict applications to change the Service.
④ Where there is insufficient facility capacity, where provision of the Service is technically difficult, or where the Company's Service policy changes, the Company may restrict a Member's application for change.

Article 12 (Renewal of the Contract)

① Unless the Member expresses an intention to terminate the use agreement, the period of use shall be deemed to continue on the same terms.

Article 13 (Succession to the Contract and Assignment of Rights)

① Where grounds arise for succession to or assignment of the legal status established with the Company, such as inheritance, merger, division or business transfer, the Member (that is, the assignor or original contracting party) and the successor shall apply for succession to the contract in accordance with the procedure prescribed by the Company. The Company may require documents evidencing the succession of legal status (such as a business registration certificate) from the date on which it occurs, and the Member and the successor are obliged to submit such documents at the Company’s request.
② The Company completes the procedure by updating the Member information it holds after verifying the application and the supporting documents referred to in paragraph ①.
③ Where, in the course of the grounds and procedure under paragraph ①, grounds under Article 6 (2) or (3) are found to exist in respect of the assignor (original contracting party) or the assignee (successor), the Company may refuse succession to the contract arising from the succession of legal status.
④ The Member shall pay the Company in full all Service fees incurred up to the time at which the grounds are completed; where any Service fees remain unpaid, the Company may refuse to cooperate in the related procedures.
⑤ Where Member information is changed due to succession of legal status, the successor shall succeed only after fully familiarizing itself with the rights, responsibilities and contractual matters relating to the remaining contract period; the successor is responsible for any problems arising in this connection.
⑥ Even where the change of Member information following succession of legal status has been completed, if the succession is judged to have been made in order to evade obligations under the contract with the Company and responsibilities under the Service use agreement continue not to be performed, the Company may hold the original contracting party responsible in connection with the Service use agreement.

Article 14 (Termination of the Contract)

① Costs relating to a Member's use of the Service are settled according to the payment method on the basis of the registered Service start date; where payment is not made, the Member is notified by the method set out in Article 24.
② Where payment is still not made despite such notification, the Company may restrict use of the Service in accordance with the procedure set out in Article 34. Matters agreed otherwise in writing between the Company and the Member are excepted.
③ A Member wishing to terminate the use agreement may apply for termination on the Service management page. Where unpaid fees have arisen as at the termination date desired by the Member, the termination procedure is completed only upon payment of those fees. However, where monthly billing is used, immediate termination is not possible and termination takes effect after use through the end of the applicable service period.
④ The Free Service may be automatically terminated without separate notice upon termination of the use agreement.
⑤ Before termination of the contract, the Member must back up their own data on the Service site. After the Service use agreement is terminated, the Company deletes all of the Member's related information, and once deleted it cannot be restored for any reason.

Article 15 (Termination by the Company at its Discretion)

① The Company may terminate the Service use agreement at its discretion, or suspend use, without separate consultation, where a Member's use of the Service falls under any of the following items.
  1. Where no appropriate action is taken in respect of unpaid Service fees — that is, where the unpaid amount and the late-payment surcharge are not paid within 30 days from the commencement date of the use restriction imposed for non-payment of Service fees (Article 34 (3)).
  2. Where the details entered in the application are found to be false.
  3. Where the Member has intentionally interfered with the Company's operation of the Service and thereby caused damage to the Company.
  4. Where the purpose and method of use of the Service violate domestic or international law and a government agency requests suspension of provision of the Service through legal process.
  5. Where the Member uses the Service to cause harm, or attempts to cause harm, to the Company's Service or to other Members.
  6. Where the IP address used is restricted on the presumption that it is a spammer IP address as defined by major domestic or overseas portal sites.
  7. Where a large-volume network attack targeting the servers of the Service causes damage to the Company's operation of the Service or to the operation of the servers of other Members sharing the network.
  8. Where a third party whose property rights have been infringed because the Member did not use lawful software requests suspension of the Service through legal process.
  9. Where the Member breaches the obligations set out in Article 22.
  10. Where the grounds for restriction of use are not remedied under Article 36 (7).
  11. Where grounds for refusal of an application under the items of Article 6 (2) arise in respect of the Member.
  12. Where the Member otherwise breaches obligations under these Terms.
② Where the Company intends to terminate the use agreement, it shall notify the Member in advance of the grounds, the termination date and other relevant matters in writing, by e-mail or by an equivalent method. However, where there are unavoidable circumstances making advance notice impossible, notice may be given afterwards.
③ The Member shall pay the Service fees for use up to the termination date. Where the Service is terminated under this Article, the Company may reclaim the Service allocated to the Member (including the deletion of postings, information and data). Reclamation of the Service takes place without separate notice, and the Member may not claim damages from the Company for losses arising therefrom. Upon receiving notice of termination and before reclamation of the Service, the Member must take preparatory measures (such as backing up data) to guard against such losses.

Chapter 5 Provision and Use of the Service

Article 16 (Commencement of Service Use)

① A Member may use the Service, free of charge or for a fee, immediately after registering through the separate authentication method prescribed by the Company.
② The Company commences the Service for a Member from the time at which it accepts the Member's registration application. However, for certain Services, use may begin from the time designated by the Company in accordance with its operating policy.
③ Where the Service cannot be commenced due to operational or technical failure on the part of the Company, the Member is notified by the method set out in Article 24.
④ The Company may request separate information or an additional registration procedure from a Member in order to provide a particular Service; in such case the terms of use, regulations or usage guidelines of the relevant website or service apply in priority to these Terms.

Article 17 (Provision of the Service)

① The Company may classify the Services provided and designate or partially restrict the hours of availability by category. In such case the Member is notified by the method set out in Article 24.
② The Company provides the Service 24 hours a day, 365 days a year in principle. However, the Service may be temporarily suspended for operational or technical reasons of the Company, or during periods designated by the Company for operational purposes. In such case the Member is notified by the method set out in Article 24.
③ The Company may temporarily suspend provision of the Service where maintenance, replacement or failure of the resources, computer systems or other information and communications facilities used to provide the Service, interruption of communications, or operational problems occur or are likely to occur. In such case the Member is notified by the method set out in Article 24. However, where there are unavoidable reasons why the Company could not give advance notice, notice may be given afterwards.
④ Where information within the Service is lost due to the Member's fault, complete restoration is difficult and the cost of any restoration work is borne by the Member.
⑤ The Company may, in accordance with its operating policy, refrain from providing particular Services to certain Members, and may classify Members by grade and differentiate their use by subdividing hours of use, number of uses, Service menus and the like.

Article 18 (Change and Suspension of the Service)

① The Company may change the Service and provide it as changed, after notifying Members of the contents of the change and the date of provision by the method set out in Article 24.
② The Company may restrict or suspend all or part of the provision of the Service in any of the following cases.
  1. Where unavoidable grounds arise, such as maintenance, replacement or failure of computer systems or other information and communications facilities, or interruption of communications.
  2. Where normal use of the Service is impaired by a power outage, failure of facilities or a surge in usage.
  3. Where unavoidable due to works such as maintenance of the facilities used for the Service.
  4. Where necessary for Service upgrades or Service maintenance.
  5. Where the Member interferes with the Company's business activities.
  6. Where maintaining the Service is impossible due to expiry of the contract or the Company's general circumstances.
  7. Where a key communications business operator under the Telecommunications Business Act has suspended its telecommunications services.
  8. Where other force majeure events such as natural disasters or national emergencies occur.
  9. Where other grounds equivalent to the above exist.
③ In the case of suspension of the Service under paragraph ②, the Company shall notify Members by the method set out in Article 24. However, this does not apply where advance notice is impossible due to a suspension of the Service arising from reasons beyond the Company's control (such as disk or system hardware failure without intent or negligence on the part of the Company's operators).
④ The Company is not liable to compensate for damage suffered by a Member as a result of the temporary suspension of provision of the Service for reasons not involving the Company's intent or gross negligence, as set out in paragraph ②.
⑤ Suspension of provision of the Service and restriction of use arising from a Member's breach of obligations are governed by Article 36. The Company may change all or part of the contents of the Service, or terminate the Service, according to operational, managerial or technical needs. In the case of a change, the Company shall announce the grounds for the change, the contents of the change and the date of provision on the initial screen of the Service seven days before the change; in the case of termination, 30 days before termination. However, where there are unavoidable circumstances making advance announcement impossible, the announcement may be made without delay afterwards.
⑥ Unless otherwise specifically provided in these Terms or the relevant statutes, the Company bears no liability whatsoever for damage suffered by a Member as a result of the change, modification or termination of the Service.

Article 19 (Copyright and Intellectual Property Rights in Postings)

① Under these Terms the Company grants the Member only the right to use the Service; ownership and intellectual property rights in the Service created and provided by the Company belong to the Company. However, ownership and intellectual property rights in any part of the Service provided by a partner through a partnership with the Company belong to that partner.
② A Member must not reproduce, transmit, publish, distribute, broadcast or otherwise use the Service provided by the Company for profit-making purposes, or allow a third party to do so, without the Company's prior consent.
③ Responsibility for the management of rights in postings and data uploaded by a Member rests with the Member who posted them. The Company holds the right to publish such postings and data within the Service.
④ The Company may not use postings for any other purpose without the consent of the Member who posted them.
⑤ The Company bears no civil or criminal liability even where a posting made by a Member within the Service infringes another person's copyright, program copyright or similar rights.
⑥ The Company holds the right to modify or delete postings containing content that breaches the obligations set out in Article 22.

Article 20 (Provision of Information and Placement of Advertisements)

① The Company may provide (or transmit) to Members information that it considers necessary or potentially useful while the Member uses the Service, such as transaction-related information and replies to Member inquiries, by means of notices, e-mail, SMS, telephone or post. A Member who does not wish to receive such information may opt out by the method provided by the Company.
② The Company may provide advertisements to Members through lawful procedures in accordance with the relevant statutes.

Chapter 6 Obligations of the Parties

Article 21 (Obligations of the Company)

① The Company shall not engage in acts prohibited by the relevant statutes or these Terms or contrary to good morals, and shall, absent special circumstances, use its best efforts to provide the Service continuously and reliably.
② The Company shall maintain the facilities used to provide the Service in an operable condition at all times and shall use its best efforts to repair or restore them without delay where they fail or are destroyed.
③ Where an opinion or complaint raised by a Member is recognized as justified, the Company shall handle it promptly. Where prompt handling is difficult, the Company shall notify the Member of the reasons and the processing schedule by e-mail, in writing, by telephone or by other means.

  6. Altering information posted by the Company.
  7. Transmitting or posting information prohibited by the Company (such as computer programs).
  8. Using the Service for profit-making purposes without the Company's consent.
  9. Disclosing or posting obscene symbols, text, sounds, images or video, or other information contrary to public order and morals.
  10. Transmitting or relaying large volumes of information in a manner that may impair the Company's stable operation of the Service.
  11. Distributing computer virus programs capable of causing malfunction of computing or information equipment.
  12. Acts prohibited by other relevant statutes or not permitted under generally accepted social norms.
④ In using the Service provided by the Company, Members are obliged to comply with the relevant statutes, the provisions of these Terms, the usage guidance, and the matters notified by the Company.
⑤ Members shall provide a contactable e-mail address at the time of registration so that the Company can inform them of matters necessary in relation to use of the Service, and shall immediately inform the Company of any change to their information; the Company bears no liability for disadvantages arising from a Member's failure to inform the Company of such changes.
⑥ Members are obliged to pay the fees set out in these Terms on the designated date as consideration for use of the Service.
⑦ Members shall regularly check the matters set out in these Terms, the contents of the Service including the Service screens, notices, and the policies and regulations established by the Company.
⑧ The Company bears no obligation to return a Member's data upon termination of the Service use agreement or upon change or termination of the Service; Members are obliged to back up and retain their own data handled using the Service, and any loss arising from neglect of this data management and retention obligation is borne by the Member.
⑨ Responsibility for the management and preservation of a Member's information and data relating to the Service rests entirely with the Member.
⑩ Members may not assign or gift to a third party, or provide as security, their right to use the Service or any other status under the use agreement without the Company's express consent.
⑪ Where the Company has provided the Service normally, all civil and criminal liability for disputes between individuals arising therefrom rests with the Member.

Article 23 (Obligations and Responsibility for ID and Password Management)

① Members shall thoroughly manage their own ID and Password so that they are not disclosed to or used by third parties.
② The Member bears responsibility for all consequences arising from losses in the use of the Service, or from unauthorized use by third parties, resulting from a breach of the obligation in the preceding paragraph, and the Company bears no liability therefor.
③ The Company may restrict use of a Member's ID where that ID gives rise to concerns about disclosure of personal information, is antisocial or contrary to good morals, or is likely to be mistaken for the Company or its operators.
④ Where a Member becomes aware that their ID and Password have been misappropriated or are being used by a third party, the Member shall immediately notify the Company and follow the Company's instructions.
⑤ In the case of the preceding paragraph, the Company bears no liability whatsoever for disadvantages arising where the Member fails to notify the Company of the fact or, having notified the Company, fails to follow the Company's instructions.

Chapter 7 Free Service

Article 25 (Use of the Free Service)

① The Free Service is provided without charge in accordance with the operating policy established by the Company; the Company may change that operating policy or discontinue provision of the Free Service at any time according to operational or technical needs. In particular, where a Member using the Free Service under these Terms ceases to meet the criteria of the operating policy established by the Company, the Company may immediately discontinue the Free Service provided to that Member.

Article 26 (Termination of the Free Service Use Agreement by the Company)

① The Company may terminate the Free Service use agreement with a Member in the following cases, in accordance with the operating policy established by the Company.
  1. Where the Member does not use the Free Service for a period exceeding that set out in the Company's operating policy.
  2. Where the Member does not apply to use the Service even though the Free Service period specified in the Company's operating policy has expired.
  3. Where the Member breaches obligations under these Terms.
  4. Where the Member has interfered with the Company's normal operation of the Free Service.
  5. Where the Member uses the Free Service by unlawful or improper means.
  6. Where the Company judges that termination of the Free Service use agreement is necessary on grounds equivalent to items 1 through 5.
② Where the Free Service use agreement is terminated, the Company may reclaim all resources provided to the Member and may delete all information stored on the Free Service, except where the Company retains the Member's information in accordance with the relevant statutes and the Privacy Policy, and bears no obligation to restore deleted information for any reason.

Article 27 (Damages)

① The Company bears no liability for any damage arising to a Member in connection with use of the Free Service, except as otherwise provided by the relevant statutes.
② Where damage arises to the Company in connection with a Member's use of the Free Service, the Member shall be responsible for and compensate all losses and damage incurred by the Company.

Article 28 (Interpretation of this Chapter)

① Where the contents of this Chapter conflict with those of another chapter of these Terms, this Chapter prevails with respect to the Free Service.

Chapter 8 Paid Service

Article 29 (Fees for the Paid Service)

① The Paid Service may be used only upon payment of the fees set by the Company; the detailed breakdown of Paid Service fees and other related matters follow the operating policy established by the Company, which the Company posts on the Service website.
② A Member using the Paid Service must select one of the plans offered by the Company and must be familiar with the operating policy established by the Company and posted on the Service website in relation to the selected plan, as well as with the following matters.
  1. A Member may, before expiry of the contract period, directly configure, or request the Company to change, matters such as termination of the contract, automatic renewal of the contract, changes to the contract conditions and conversion of the plan. Where the Member does not change the settings or request a change from the Company before the contract expiry date, the contract is automatically extended on the same terms as before.
  2. Conversion to the Free Service may be restricted while the Paid Service is in use.
  3. Other precautions for each plan posted on the Service website.
③ When applying for the Paid Service, a Member may choose among the "Standard", "Professional" and "Enterprise" plans and may choose between annual and monthly billing cycles. The following matters also require attention.
  1. The Member may change between the Standard, Professional and Enterprise plans if it so wishes.
  2. Plan downgrades are not available under either monthly or annual billing, and no refund is made for fees where the number of users decreases. Under both monthly and annual billing, upon a plan upgrade the changed plan becomes available immediately upon completion of the upgrade application, and fees for the plan currently in use are calculated and charged on a daily pro-rata basis for the period used.
  3. Monthly billing may be converted to annual billing; conversion from annual billing to monthly billing is not possible.

Article 30 (Calculation, Pro-rata Calculation and Change of Fees)

① Service fees are calculated from the time at which the Company commences provision of the Service to the Member.
② A Member may use the Paid Service only under the conditions of the plan it has selected (number of accounts, capacity, add-on features, etc.); the specific conditions follow the operating policy established by the Company and posted on the Service website.
③ A Member may change or terminate all or part of the Paid Service mid-term, but a penalty or similar charge may be imposed depending on the plan used; the relevant details follow the operating policy established by the Company.
④ The Company may change the fees for the Paid Service, or convert the Free Service into a paid service, at any time. Where fees change during the contract period of the Service, the changed fees apply to the Member from the date of the change and the Member shall pay the fees calculated accordingly. However, the pre-change fees apply to periods for which the Member has already completed payment.
⑤ Where Paid Service fees are paid, fees are calculated on a monthly basis from the start date on which provision of the Paid Service commenced to the day before the corresponding date of the following month.
⑥ Where the date of a plan change falls in the middle of the month concerned, the fees are calculated pro rata according to the number of days used in that month. Matters agreed otherwise in writing between the Company and the Member are excepted.
⑦ Upon termination of the Paid Service, fees are calculated pro rata, treating the period from the start date on which provision of the Paid Service commenced to the day before termination as the days of use.
⑧ Where the Company and the Member have agreed otherwise than as set out in paragraphs ① to ⑦ of this Article, fees are calculated in accordance with that agreement.

Article 31 (Payment and Billing of Paid Service Fees)

① The Company may bill Members for Paid Service fees on a monthly or annual basis in accordance with its pricing policy.
② Members shall pay the fees for use of the Paid Service in accordance with the pricing policy applicable to the Paid Service they are using.
③ Where payment fails at the time of settlement for the Paid Service, up to two further attempts at payment are made within 10 business days. Where payment is still not made within that retry period, the Company may restrict the Member's use of the Paid Service in accordance with the procedure set out in Article 34; and where Article 15 (1) 1 applies, the Company may terminate the Paid Service and delete the data after retaining it for 30 days from the date of termination. The Company bears no liability whatsoever for damage arising to the Member as a result.

  2. Where non-payment continues for 30 days or more, a surcharge (1.5% of the unpaid amount per month) is added and the amount is re-billed; waiver or cancellation of the unpaid amount is not available.
  3. The Company may entrust the collection of overdue fees to a debt collection agency in respect of a Member who has been in arrears for three months, in order to recover those fees.

① Members shall verify that the information they enter in relation to payment of Paid Service fees is accurate, and bear full responsibility and disadvantage arising in connection with that information.
② A Member who objects to the fees billed by the Company may file a written objection within six months of the billing date.

Article 33 (Refund of Fees and Overpayments)

① Where a Member has made an overpayment in paying fees, the Company refunds the overpayment to the Member. However, where the Member consents, or where the Member does not respond to the Company's notice of refund of the overpayment, the Company may deduct the amount from the following month's fees when billing.
② Where a Member to whom an overpayment is to be refunded has unpaid fees or similar amounts outstanding, the Company may first set those amounts off against the overpayment to be refunded before making the refund.

Article 34 (Collection of Overdue Fees)

① Where a Member fails to pay Paid Service fees by the payment due date designated by the Company, the Member shall pay a surcharge to the Company in accordance with the following items.
  1. For annual plans (annual billing), the Company calculates a surcharge equal to 1.5% of the unpaid fees and charges it cumulatively for each month from the date of non-payment. However, the Company may waive the surcharge until the 30th day from the payment due date.
  2. For monthly plans (monthly billing), the Company calculates a surcharge equal to 1.5% of the unpaid fees and charges it cumulatively on the first day of each month. However, the Company may waive the surcharge until the last day of the month following the month in which the fees were unpaid.
② Where the person responsible for payment is in arrears, the Company may proceed with a demand for payment, such as a dunning notice, by the method set out in Article 24 immediately upon the arrears arising. In such case the Company may issue a demand notice to the Member and the payment due date is re-designated.
③ Where a Member fails to pay Paid Service fees, the Company may take measures to restrict the Member's use of the Service from the time 30 days have elapsed from the date of non-payment. The specific criteria and details of the restriction measures follow the Company's operating policy, and the Company bears no liability whatsoever to the Member in connection with those measures.
④ The Company may use a collection agency where necessary in order to collect the claims it holds against a Member.
⑤ A Member may have the restriction under this Article lifted by paying all unpaid fees and late-payment surcharges. In such case, fees for the period after the restriction is lifted are calculated from the date on which it is lifted.
⑥ Where a Member fails to pay the unpaid fees and late-payment surcharges until 30 days have elapsed from the commencement date of the restriction, the Company may terminate the Service in accordance with its operating policy, and bears no liability whatsoever for damage arising to the Member as a result.

Article 35 (Refund upon Termination)

① A Member using the Service on annual billing may apply to terminate use of the Service. In such case the Company calculates, on a daily pro-rata basis, the fees corresponding to the remaining Paid Service period out of the fees already paid by the Member, and refunds that amount. However, a Member using the Service on monthly billing may continue to use the Service until the scheduled end date of the Service for that month even if the Member applies for termination.
② Where the Company refunds fees to a Member under this Article, the refund amount is calculated taking into account the discounts received by the Member, any penalties and similar factors; the specific calculation method follows the Company's operating policy.
③ Notwithstanding this Article, the Company does not refund fees where the contract is terminated for reasons attributable to the Member.

In such case the Company shall notify the Member of that fact in writing, by e-mail or by an equivalent method.

However, where processing takes a long time, the Company shall announce or notify the reasons and the processing schedule on the Service.
③ The Company shall take measures corresponding to the contents of that response.

Article 39 (Termination by the Member)

② Where a customer is unable to use the Service due to reasons attributable to the Company, the Company shall compensate, in respect of any continuous suspension of Service provision of three hours or more counted from the time the Member notifies the Company of the fact and it is confirmed (or from the time at which the Company knew or could have known of the fact), an amount equal to three times the amount obtained by multiplying the average daily fee for the most recent three months (or, where the period is less than three months, that period) by the number of hours of Service suspension divided by 24. In this case any fraction of less than one hour is counted as one hour. However, the amount of compensation under this Article may not exceed the cap set out in paragraph ⑧ of this Article.
③ Where the same failure occurs within one hour after the Service has been restored, it is deemed to be a continuous failure.
④ A claim for damages under paragraph ① of this Article is extinguished if it is not exercised within 30 days from the date on which the damage occurred.
⑤ The following are not included as failures and are accordingly not subject to compensation under this Article.

⑥ The amount of damages under this Article may, at the Member's option, be applied towards the fees for another Service.
⑦ The Company's liability for damages to a Member who was unable to use the Service due to a failure is limited to the compensation under paragraph ② of this Article; the Company bears no additional liability for compensation beyond that.
⑧ The Company's total liability for compensation to a Member under these Terms may not exceed the amount of fees paid by the Member to the Company for the month concerned.

③ The Company has no obligation to intervene in, and bears no liability to compensate damage arising from, disputes arising between Members, or between a Member and a partner or third party, through the medium of the Service.
④ The Company bears no liability for a Member's loss of profits expected from use of the Service, nor for damage arising from data obtained through the Service.
⑤ Members use the Service entirely at their own risk; the Service is provided "as is" and "as available", and all of a Member's postings, information and data are managed at the Member's discretion and risk.
⑥ Responsibility for the management and preservation of a Member's postings, information and data relating to the Service rests entirely with the Member, and the Company has no obligation to back up or restore a Member's postings, information or data. Members must therefore back up their own postings, information and data to separate, independent storage as they consider necessary.

Article 45 (Dispute Resolution and Competent Court)

① The Company and the Member shall make all necessary efforts to resolve amicably any dispute arising in connection with the Service.
② Where a dispute is not resolved despite the consultation under paragraph ①, the Company and the Member may apply for dispute mediation to the Consumer Dispute Mediation Committee of the Korea Consumer Agency under the Framework Act on Consumers, or to the Electronic Document and Electronic Transaction Dispute Mediation Committee established under the Framework Act on Electronic Documents and Transactions.
③ The laws of the Republic of Korea shall be the governing law for matters relating to these Terms.
④ Where a lawsuit is filed in respect of a dispute arising between the Company and a Member in relation to use of the Service, the court having jurisdiction over the location of the Company's head office shall be the competent court. However, where the address or place of residence of the Member is clear at the time the action is filed, the action may be filed with the competent court under the Civil Procedure Act.
⑤ Notwithstanding the preceding paragraph, where the Company and a Member have agreed otherwise as to the method of dispute resolution, the governing law or the competent jurisdiction in a separate written agreement, the provisions of that agreement apply in priority.
